In Nebraska, as in most states, the primary step in creating a limited liability company (LLC) is to file a certificate of organization with the state. This is an absolutely crucial document that helps define your business, so it’s important to do it correctly.
An LLC is a business entity that offers liability protection for owners, as well as pass-through taxation, much like a sole proprietorship.
What is a Certificate of Organization?
The certificate of organization is a legal document you need to file with the state to form your LLC. It will specify details about your company and establish your LLC as an officially registered business entity in Nebraska.
The document is similar to the articles of incorporation you would file to form a corporation instead of an LLC.

- Uploading the Certificate of Organization Document
Once you’ve drafted your certificate of organization, you can upload your document through the Nebraska Secretary of State online portal. If you wish to create an account, you may do so, but it’s not necessary to file.
At the bottom of the page, choose “forming a new entity/qualifying a foreign entity” and select “Domestic Limited Liability Company” from the drop down menu. You can also enter a client memo if you’d like it to appear on your receipt for billing purposes. Then, click “Continue”.

On the next screen, enter your entity name, designated office address, and effective date. Upload your drafted certificate of organization document in PDF format and click “Continue”.
The following screen requires you to enter your registered agent information. Search for your registered agent name or enter their contact information and click “Continue”. The next screen provides you with an opportunity to review your information. You can also request optional certified copies. If everything is correct, click “Submit” to be taken to the payment screen.
When filling out your certificate of organization information online, be sure to double-check that all the information is accurate and up-to-date. Maybe you’ve just moved, or use your middle initial in official documents, such as with your bank account. If you get it wrong now, changing it later can be a real pain. So accuracy is crucial.
- File Certificate of Organization – The final step in the process is to submit payment through the website’s payment screen or mail in all documentation. The filing fee in Nebraska is $100 plus an additional $3 for online submissions. The fee for mail-in filings is $110. Your LLC should be formed within a week of filing.
